1. TERMS OF SERVICE

Welcome to Twozo, a Customer Relationship Management (CRM) platform. By accessing or using Twozo’s services, you understand and agree to be bound by these terms and conditions.

1.1. Consent to Terms

By using our services, you accept and agree to be bound by these Terms of Service in full. If you disagree with any part of these terms and conditions, you must cease using our services immediately. You are prohibited from accessing or using our services.

1.2. Legally Binding Agreement

Upon use of the Twozo Services by a Client, these Terms create a legally binding agreement between the Client and Twozo. By registering, you affirm your authority to act on behalf of your company or organization. If you sign up using your work email address, it is acknowledged that you are acting as a representative of your employer or organization within the scope of this agreement.

2. MODIFICATIONS TO TERMS

Twozo maintains the authority to adjust, revise, augment, or delete any segments of the Terms as it deems fit, with changes being made periodically and as the need arises. Notification of any such modifications may be communicated via multiple channels, including announcements posted directly on the platform, email notifications, or alerts within the user dashboard.

By continuing to use the Twozo Services, the client expressly acknowledges and accepts these Terms, inclusive of any subsequent modifications or revisions implemented by Twozo.

3. TWOZO SERVICES

3.1. User Accounts

Eligibility : You must be at least 18 years of age to use our services.

You are responsible for maintaining the confidentiality of your account information and for all actions carried out under your account. It is imperative that you maintain the security of your account details and remain vigilant regarding any activities performed using your account credentials.

We retain the right to terminate your account within 60 days should you contravene these terms of service or engage in any activities that are deemed unlawful or prohibited by law. This includes actions that breach our community guidelines or pose a threat to the integrity and security of our platform.

3.2. Service Utilization

We grant you the right to access and use our services under a restricted, non-exclusive, non-transferable, and revocable License. This License is only granted if you strictly follow the conditions stated in this agreement. It is strictly prohibited for you to engage in any of the following activities:

  • Sharing or transferring the services to third parties without first receiving our express written consent.
  • Using the services to provide comparable services to third parties without first receiving our written authorization.
  • Attempting to reverse engineer, disassemble, or compile the services in any way.
  • Using the services in a way that could potentially harm, disable, overload, or impair any server, network, or Twozo component.
  • Spreading, storing, or distributing viruses, worms, or any other type of malicious software using the services.
  • Attempting to access services, related systems, or networks without authorization.

3.3. Modifications to Twozo Services

Twozo retains the authority to make changes or modifications to our services as we see fit, without the obligation to provide advance notice to users. This enables us to adapt and improve our offerings in response to evolving needs and technological advancements. This includes potential alterations such as rebranding the services, revising their packaging, or modifying pricing tiers.

It is important to note that any adjustments to fees will be implemented at the time of the client’s plan renewal. Twozo holds the right to halt the provision or ongoing development of particular features or elements within the platform, either temporarily or permanently, in alignment with the company's strategic objectives and operational requirements.

3.4. Client Notification and Termination

If a client chooses not to accept a modification to the services, it is their responsibility to proactively inform Twozo or the relevant reseller prior to the modification taking effect. This communication enables both parties to engage in constructive dialogue and potentially explore alternative solutions to address the client's concerns.

Failure to notify Twozo or the designated reseller of their decision regarding the modification will result in automatic termination of the client's account once the modification comes into effect. It is essential for clients to communicate their stance on the modification to ensure the continuity of their access to the services and to avoid any disruption to their usage.

3.5. Intellectual Properties

All material, attributes, and operations that comprise the services will continue to be the sole property of Twozo and its licensors. This includes data, concepts, methods, branding, logos, patents, and any other intellectual property related to the services.

It is strictly prohibited to use any knowledge, software, products, or services obtained from the services in any way, including alteration, delivery, transmission, display, publication, sublicensing, creation of derivative works, transfer, or sale, without first obtaining Twozo’s express written consent. These restrictions are implemented to uphold and protect the integrity of the services and to preserve the proprietary rights associated with their content and functionalities.

3.6. Credentials

Confidentiality of Credentials : It is the client’s responsibility to protect the privacy of their login credentials, including usernames and passwords, by ensuring they are kept private and secure. The client assumes full responsibility for any acts or activities carried out using these credentials and must manage them with caution and vigilance.

No Sharing of Credentials : Access credentials must never be shared or used by more than one person. Each user must maintain their own set of credentials to access the platform. This restriction is in place to protect user account security and integrity and to reduce the risk of potential breaches and unauthorized access.

Transferring Credentials : Under certain conditions, credentials may be transferred to a new user, particularly if the prior user's access is no longer required due to reasons such as a role change or separation from the company. Removing access promptly for those who no longer require it ensures optimal user access management and maintains platform security.

3.7. Client’s Obligation to Promptly Notify Twozo

Lost or Compromised Credentials : The client must notify Twozo immediately if they believe or know that their usernames, passwords, or login information have been lost, disclosed to other parties, or used without authorization. Prompt reporting enables corrective action to be taken swiftly to minimize potential security issues and safeguard the integrity of the client's account.

User Leaves the Company : If a user leaves the company or has their position within the company structure altered, the client must notify Twozo as soon as possible. This ensures that appropriate adjustments can be made to the user's account status and access permissions, maintaining the integrity and security of the platform.

Access Terminated : If a user’s right to access Twozo’s services is terminated for any reason, the client must promptly notify Twozo of this development. Timely communication ensures that appropriate actions can be taken to revoke the user's access privileges and safeguard the security of the platform.

3.8. Changing Plans

Changing Your Plan : Clients are free to change their subscription plan at any time by choosing to upgrade or downgrade their existing plan. This flexibility allows clients to modify their subscription to better fit their evolving requirements and ensure they have access to the tools and resources required for their business.

Automatic Billing : If the client modifies their subscription plan, the payment method linked to their account will be automatically charged for the upcoming payment interval. This charge will reflect the fee corresponding to the selected plan as stipulated in the updated subscription terms.

Unused Prepaid Fees : In the event of a plan upgrade, any unused prepaid fees will be automatically applied toward the fee associated with the upgraded plan. This ensures that the client maximizes the value of their prepaid fees by offsetting a portion of the cost of the upgraded subscription.

4. CONFIDENTIALITY POLICY

Our approach to managing the data you provide when using our services is described in our Privacy Policy. By using our services, you agree that your information will be collected and used as described in the Privacy Policy.

5. TECHNICAL SUPPORT

Twozo shall provide reasonable technical support to the client and its users via :

Twozo Community and Knowledge Base : Twozo offers access to its Community and Knowledge Base, which are available to all users. The Community facilitates peer-to-peer support and knowledge sharing, while the Knowledge Base provides comprehensive resources and guides to maximize productivity and leverage the platform's features.

Chat : Twozo provides a chat feature accessible to all users through their Twozo account. This real-time communication channel allows users to interact with each other, collaborate on projects, and seek assistance from Twozo's support team as needed.

Phone : Users subscribed to specific plans have the option to request a callback from the support team via their Twozo account. This allows users to ask questions, get help with issues, or receive guidance from Twozo’s support staff over the phone.

5.1. Primary Technical Support by the Reseller

When a customer purchases Twozo services from an approved reseller, the reseller will handle the initial technical assistance. This arrangement ensures that customers receive timely and customized support from the organization that facilitated their acquisition of the services. The reseller is the main point of contact for handling technical questions, resolving issues, and offering platform guidance.

5.2. Exception to Twozo’s Support

In cases where services are procured through a reseller, Twozo does not directly provide the initial technical support to the client. Instead, the responsibility for addressing the client’s technical inquiries falls upon the authorized reseller. This approach ensures that clients receive tailored assistance from the entity through which they acquired the services.

5.3. Verification by User

Verification of Identity : To protect user data and accounts, Twozo may request information from customers in order to verify their identity. This verification procedure improves platform security by preventing unauthorized access and shielding critical data from potential security risks.

Auditing Procedure : Clients may be asked to submit particular data or documentation to verify their identity during the verification process. This may include personal information such as name, address, and identity documents like a passport or driver’s license.

Features : Twozo continually seeks to improve its services and may periodically introduce new features to enhance the user experience and functionality. These new features may come with additional terms and conditions, known as “Supplemental Terms”. Clients who use these new features must agree to and adhere to these supplemental terms to ensure proper usage and compliance.

5.4. Free Trial

New customers are offered a free trial that does not require credit card information to test the features and functions of Twozo’s services. The account will be immediately terminated at the end of this trial period. To prevent deactivation and maintain an active account status, users must select an appropriate plan and make their first payment.

If an account is deactivated, customers can still reactivate it by selecting a plan and making the first payment. The account and its related data may be permanently deleted within 60 days after the trial ends.

Twozo may periodically offer special discounts and promotions to its clients, which may include additional terms and conditions beyond those outlined in the standard service agreement. It is important for clients to review any supplementary terms before taking advantage of these offers.

5.5. Services in Beta

Twozo may roll out services called “Beta Services” that are intended for testing and provide users the chance to explore and provide feedback on new features. Twozo retains the right to end these beta services at any time without advance notice, and may decide to temporarily or permanently discontinue this service after considering user feedback and strategic objectives.

Users must understand that while beta services provide early access to new features, they do so at their own risk. Twozo expressly disclaims all responsibility for any damage or unfavourable consequences that may arise from using, altering, stopping, or ending the beta services.

5.6. Non-Twozo Applications

Third-party applications are accessible via the Marketplace on Twozo’s platform, providing users with additional functionalities and integrations. The terms and conditions governing the use of these third-party applications are established directly between the client and the respective third-party provider. Any data exchange that occurs between the client and the third-party provider is solely their responsibility.

In the event of any issues arising from the use of third-party applications, users are advised to address these matters directly with the third-party provider. Twozo does not offer any warranties or guarantees for third-party applications and explicitly disclaims any responsibility for client data issues resulting from the use of such applications.

6. RESTRICTIONS

When using Twozo Services, users must abide by the terms of service and any applicable laws. Using Twozo Services to engage in unlawful activity or to encourage others to do so is strictly forbidden. Users are prohibited from supplying false, incorrect, or misleading information in any capacity.

Furthermore, it is forbidden for users to act in a way that is disparaging, libellous, threatening, or harassing toward Twozo or its representatives. Twozo Services access may be terminated for noncompliance with these guidelines.

6.1. Trade Control Compliance

Compliance : Users must abide by export control rules and any applicable sanctions from the US, EU, and other countries. The cross-border transfer of products, services, and technologies is governed by these laws. Compliance is essential to prevent legal consequences such as fines and penalties.

Avoid Violations : Users are responsible for ensuring their activities do not cause Twozo or its affiliates to breach any trade regulations or sanctions. This requires abstaining from actions that might violate international laws or rules.

No Restricted Persons : You and your representatives must not appear on any sanctions or export control lists, nor originate from or be physically present in sanctioned countries. You must also avoid doing business with people or organizations that are restricted.

Notification : Promptly inform Twozo if you breach any sanctions or trade controls or if you become a restricted person. This immediate notification allows for appropriate action to be taken to address the situation and ensure compliance with regulatory requirements.

Right to Terminate : Twozo may terminate your access immediately if you violate these rules or if your continued use could breach sanctions or trade controls. This is to ensure compliance and protect the platform's integrity.

6.2. Take Down

Legal Compliance : Twozo complies with the US Digital Millennium Copyright Act (DMCA) and any other applicable laws.

Takedown Notices : Upon receiving a legitimate takedown notification or court order, Twozo has the right to delete any client data from the site. Twozo preserves its commitment to data privacy and legal compliance by responding to such notices or orders in a timely manner.

7. FEES/PAYMENT

  • If the client accesses Twozo services directly from Twozo, certain provisions apply. If access is through a reseller, payment terms are based on the agreement with the reseller.
  • Using Twozo services beyond the free trial incurs a fee. The client must select a plan with different rates charged monthly or annually.
  • Twozo can change fees for any plan with one month’s notice, effective from the next plan term.
  • Twozo can automatically charge fees on the renewal date unless the plan is terminated or reduced prior.
  • Cancellation of the plan before the renewal date will avoid billing for the next term, but no refunds will be issued for the current term.
  • All fees are non-refundable and exclusive of taxes, which are the client's responsibility.
  • If fees are not paid within 29 days, Twozo suspends access. The client has 180 days to reactivate, or Twozo may permanently delete the account and its data.

7.1. Payment Card Authorization

  • Twozo and its affiliates may verify the client's payment card prior to the purchase of Twozo Services to confirm its validity and ensure that there are sufficient funds available.
  • By agreeing to this check, the client acknowledges and accepts the verification process of their payment card by Twozo and its affiliates. The client also agrees to proceed with payment for any selected plan, confirming their commitment to fulfilling the financial obligations associated with the chosen plan.
  • Twozo is authorized to charge all fees associated with the provided card account.
  • The client agrees to update card information when requested or if the provided information becomes invalid.

7.2. Direct Debit Payments

  • If you agree, Twozo may request that you complete a form for bank debit payments. This process facilitates seamless transactions and helps streamline payment procedures for added convenience.
  • Twozo will adhere to all applicable rules and regulations regarding direct debit payments in your country, providing users with a secure and transparent payment experience.

7.3. Payment Service Providers

  • Twozo uses GoCardless to handle client bank debit payments.
  • For more details about how GoCardless handles your personal data and your rights regarding data protection, including your right to object, visit gocardless.com/legal/privacy/.

7.4. Invoice Electronically

  • If Twozo has not verified the client's credit card in advance, the client will receive an electronic invoice before the conclusion of each payment period.
  • This invoice provides information about the amount owed, the payment method, and the payment deadline, and acts as a notification of the impending payment.
  • The invoice must be paid by the specified due date. Failure to pay by the deadline may result in account suspension or other consequences as indicated in these terms of service.

7.5. Late Payment Charges

  • In the event of delayed payments, Twozo reserves the right to charge interest on the overdue amount, commonly referred to as a late payment penalty. This penalty serves as a deterrent for late payments and helps offset any associated administrative costs.
  • The late payment interest rate is set at 1% per month or the highest rate permitted by local law, whichever is higher.

8. RESTRICTIONS ON LIABILITY

Twozo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of income or profits, whether caused directly or indirectly. Twozo shall also not be liable for any loss of data, loss of use, loss of goodwill, or other intangible losses.

8.1. Indemnity

You commit to defending and holding Twozo, its officers, directors, employees, agents, and affiliates harmless against any and all claims, liabilities, losses, damages, and costs (including reasonable legal and accounting fees) resulting from:

  • Your use of our services.
  • Your breach of these terms and conditions.
  • Any breach or infringement of the rights of a third party, whether proprietary, intellectual, private, or public.

8.2. Feedback

  • Twozo retains the right to use any input submitted by customers or users, including making changes to its services in response to feedback received. This feedback-driven approach allows Twozo to consistently improve its offerings, address user needs, and enhance the overall user experience.
  • Users or clients permit Twozo to use their input without compensation for an unlimited period. This License allows Twozo to freely apply and incorporate user feedback into its services for ongoing improvement.
  • If comments are considered harmful or objectionable, Twozo reserves the right to remove or edit them from its website. This ensures that all users are working in a productive and positive environment.

8.3. Applicable Law

The laws of the designated jurisdiction shall govern and control the interpretation of these terms, without regard to any conflict of law provisions. Any disputes or legal concerns resulting from these terms will be decided by the laws of the designated jurisdiction.

8.4. Notices

Written Notices : All notices pertaining to these terms must be in written form to be considered valid. Written notices provide a clear record of correspondence, facilitating effective communication and dispute resolution.

Email Notices : Email notices are considered effective on the day they are sent. Notices of termination or legal claims must be distinctly labelled as “legal notices” to signify their importance.

Billing Notices : Billing-related notices are directed to the billing contact designated by the client. This ensures that important billing and financial information reaches the appropriate individual responsible for managing these aspects of the client's account.

Other Notices : Other notices are directed to the system administrator designated by the client. This ensures that important notifications and updates reach the individual responsible for overseeing system operations and user management within the client's organization.
